Preamble
We, the members of the Glendale Tool Company, united by our common interest in exploring the intersections of technology, art, and the etheric sciences, do hereby establish this Charter Statement to guide the organization of our chantry along cooperative principles. We are committed to fostering a secure, supportive, and inclusive environment for our members to collaborate and innovate, pursuing shared economic, social, and technological goals in the spirit of our great Society of Ether.
Mission Statement
Our mission is to create a sustainable and resilient community founded in Utopian principles that serves as a hub for the Sons and Daughters of Ether, the Virtual Adepts and other affiliated technomancers and technologists in the vicinity of Los Angeles, bridging the gap between esoteric science and its everyday, living application. We strive to develop and promote transformative technologies, artistic expressions, and research that empower our members and enrich our community. Through our collective efforts, we aim to challenge the status quo and inspire a brighter future.
Article I: Name and Purpose
1.1 Name
The name of the organization shall be the Glendale Tool Company (hereinafter referred to as "the GTC").
1.2 Purpose
The GTC is a cooperative enterprise, democratically owned and operated by its members, dedicated to meeting their collective needs and aspirations in the realms of science, art, commerce and mutual security.
Article II: Membership
2.1 Eligibility
Membership in the GTC shall be open to any individual who resides within Los Angeles County (and its affiliated dimensions, times and realms), supports the GTC's mission, agrees to abide by the Charter Statement, and contributes to the GTC's endeavors in accordance with the provisions set forth in this document.
2.2 Application
2.2 Application: Prospective members must submit a written application to the GTC's Membership Committee. The Membership Committee shall review applications and determine whether the applicant meets the requirements for membership.
Article III: Governance
3.1 General Assembly
The General Assembly is composed of a quorum of all GTC members whose rank within their sect is recognized by the Nine Traditions as roughly equivalent to a 'Disciple' or greater. It is the highest decision-making body of the GTC. The General Assembly shall meet at least once per quarter to discuss and decide on matters of strategic importance.
3.2 Decision-Making
Decisions in the GTC shall be made by consensus or majority vote, with each voting member (see 3.1) having one vote. Voting may be conducted in person, electronically, or by proxy, as determined by the General Assembly. The General Assembly may vote to enfranchise non-voting members, such as Consors or Apprentices, as it sees fit.
3.3 Committees
The General Assembly shall establish or disestablish various committees to carry out specific tasks and responsibilities. These committees will be responsible for overseeing the GTC's operations and ensuring the implementation of the decisions made by the General Assembly.
3.4 Standing Committees
The General Assembly will always maintain at least two 'Standing Committees' which may never be disestablished. They are the Membership Committee which will handle the admission and expulsion of prospective members, and the Security Committee which must prioritize the physical safety of GTC members and property.
3.5 Committee Leadership
The General Assembly will vote for a 'Chair' of each committee. It is then the Commitee Chair's responsibility to invite others onto the committee whose interests, assets and skill sets seem most relevant. The Committee Chair is responsible for explaining the committee's progress at each General Assembly.
Article IV: Economic Participation
4.1 Member Contributions
All members shall voluntarily contribute to the GTC in the form of labor, financial or intellectual capital, or other tangible assets (such as Tass, Gadgets, Wonders or other Strange and Marvelous Contraptions), as agreed upon by the common interests of the General Assembly.
4.2 Surplus Allocation
Any surplus generated by GTC operations (Such as Tass, communal salvage rights or the prosecution of certain trademarks) shall be allocated in a manner that benefits the members and supports the GTC's mission, as determined by the General Assembly.
4.3 Transparency
The GTC shall maintain transparency in its decision-making processes and financial records, ensuring that all members have access to relevant information.
Article V: Education, Diplomacy and Sleepers
5.1 Capacity Building
The GTC shall promote the ongoing education and training of its members, enabling them to contribute effectively to the GTC's operations and achieve its mission.
5.2 Collaboration
The GTC shall seek to collaborate with other chantries, organizations, and individuals who share its mission and values, fostering a spirit of mutual support, where voted as desirable by the General Assembly.
5.3 Community Development
The GTC shall endeavor to contribute to the well-being of the community of Sleepers in which it operates. In addition, the GTC shall adhere to principles of sound environmental stewardship in its operations so as to not unduly harm or pollute the ecologies in which it operates in.
Article VI: Amendments to the Charter Statement
6.1 Proposal
Amendments to the Charter Statement may be proposed by any GTC member during a General Assembly. Where necessary, the General Assembly may establish a committee to further investigate the ramifications of a proposed amendment.
6.2 Approval
Amendments to the Charter Statement shall be adopted by a two-thirds majority vote of the General Assembly.
Article VII: Dissolution
7.1 Dissolution Process
The dissolution of the GTC may be initiated by a two-thirds majority vote of the General Assembly. In the event of dissolution, the GTC's assets shall be liquidated, and any remaining funds shall be distributed among the members, as determined by the General Assembly.
7.2 Asset Transfer
If the GTC is dissolved, any remaining assets after the distribution to the members shall be transferred to another chantry, company or other entity that supports the GTC's mission and values, as determined by the General Assembly.
In conclusion, the Glendale Tool Company seeks to establish a cooperative model that fosters creativity, collaboration, and sustainable security among its members. By adopting this Charter Statement, we commit ourselves to upholding the principles and values elucidated above, the Protocols of the Nine Traditions and the wisdom of Kitab Al-Alacir who taught us: "Everything is true. Anything is possible."
Amendment I
Adopted prior to ratification of Charter by General Assembly in February, 2022
1.1
That all members of the GTC Cooperative in good standing, regardless of their status as Awakened or Nonawakened, shall have the power to vote in the General Assembly as prescribed by the new charter regarding one vote per motion per member.
1.2
A simple majority of the voting body will be required to ratify the charter with the proposed amendment.
